Please read these Terms of Service carefully before accessing our website, using our Client Portal, or engaging our digital, marketing, development, and automation services.

By accessing our website, submitting an inquiry, accepting a proposal, approving a quote, signing a Statement of Work (SOW), making payment, using our Client Portal, or engaging our Services, you agree to be legally bound by these Terms.
Welcome to Valiant Industry (“Valiant Industry,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, Client Portal, applications, digital platforms, and all services provided by Valiant Industry.
If you do not agree to these Terms, you must not use our Services.
1. Description of Services

Our Services are customized based on each Client's industry, business objectives, operational requirements, audience, growth strategy, and digital infrastructure needs. We provide both B2B (Business-to-Business) and B2C (Business-to-Consumer) marketing, technology, automation, branding, advertising, and digital growth services for local, national, and international organizations.
Technology Infrastructure
To deliver our Services, Valiant Industry may utilize modern development frameworks, cloud infrastructure, AI systems, APIs, analytics platforms, automation tools, and third-party technologies including but not limited to:
Technology selections may vary depending on project requirements and service scope.
2. Client Portal & Account Security
Clients may receive access to the Valiant Industry Client Portal for communication, reporting, project management, invoicing, approvals, and collaboration.
Account Security
Clients are responsible for maintaining the confidentiality of account credentials, passwords, and login information. Clients must immediately notify Valiant Industry of any suspected unauthorized access or security breach.
Appropriate Use
The Client agrees not to misuse, disrupt, attempt unauthorized access to, reverse engineer, interfere with, or compromise any portal, software, platform, infrastructure, or system operated by Valiant Industry.
Suspension
Valiant Industry reserves the right to suspend or revoke account access where misuse, abuse, security risks, non-payment, unauthorized sharing, or violations of these Terms are suspected.
3. Quotes, Invoices & Payment Terms
Quotes & Estimates
All quotes, estimates, and proposals remain valid for fourteen (14) days unless otherwise stated in writing.
Payment Terms
Project deposits must be paid before work begins. Remaining balances are due according to the payment schedule outlined in the applicable proposal, quotation, invoice, Statement of Work (SOW), or project agreement.
Retainers
Monthly retainers and recurring service agreements are billed on a recurring basis unless otherwise agreed in writing.
Late Payments
If payment remains outstanding beyond seven (7) days after the due date, Valiant Industry reserves the right to pause campaigns, suspend development work, disable hosting services, revoke Client Portal access, withhold deliverables, or suspend active services until outstanding balances are paid.
Third-Party Costs
Unless otherwise agreed in writing, Clients remain responsible for all third-party expenses including but not limited to advertising spend, hosting services, domain registrations, premium plugins, software licenses, API fees, CRM subscriptions, and email platforms. These costs remain separate from Valiant Industry service fees.
Acceptance of Agreements
Acceptance of any proposal, quotation, invoice, Statement of Work (SOW), electronic signature, email approval, portal approval, or payment shall constitute acceptance of these Terms.
4. Client Responsibilities
Content & Materials
Clients agree to provide all required content, credentials, access permissions, approvals, brand assets, and project materials in a timely manner.
Approvals
Clients are responsible for reviewing and approving deliverables, content, designs, campaigns, and milestones within a reasonable timeframe.
Accuracy
Clients warrant that all information, content, assets, and materials provided to Valiant Industry are accurate and do not infringe upon any third-party rights.
Project Delays
Project timelines depend on timely communication, feedback, approvals, and access credentials. Valiant Industry shall not be liable for delays caused by Client inaction, missing information, delayed approvals, or unavailable resources.
5. Intellectual Property Rights
Final Deliverables
Upon full and final payment of all outstanding invoices, the Client receives ownership rights to approved final deliverables specifically created for the Client, including finalized website designs, approved branding assets, completed visual content, approved advertising creatives, finalized copywriting, and custom business content. Ownership applies only to the final approved deliverables expressly included within the agreed project scope.
Valiant Industry Proprietary Systems & Technology
Unless otherwise stated within a signed written agreement, Valiant Industry retains exclusive ownership of all underlying intellectual property, technologies, methodologies, frameworks, systems, development infrastructure, and proprietary assets used to create, operate, or deliver Services. This includes but is not limited to:
- Next.js systems & React architectures
- Three.js implementations & 3D rendering systems
- Source code frameworks & backend infrastructure
- API systems & database architectures
- Supabase configurations & Vercel deployment systems
- AI workflows & prompt configurations
- Automation systems & reusable code libraries
- Software components & internal tools
- Reporting, analytics & deployment pipelines
- Methodologies, growth systems & technical processes
Source Code & Technical Infrastructure
Unless explicitly transferred through a signed Intellectual Property Transfer Agreement, ownership of source code, backend systems, development frameworks, automation architecture, deployment systems, databases, APIs, software infrastructure, AI systems, and reusable software components shall remain the exclusive property of Valiant Industry. Source code ownership is not automatically transferred through payment of project fees. Clients receive only a limited license to use such technologies as incorporated into final approved deliverables unless otherwise agreed in writing.
Valiant Industry reserves the unrestricted right to reuse, modify, improve, commercialize, license, deploy, and utilize its proprietary technologies, frameworks, methodologies, and systems across future projects.
Hosting Infrastructure Ownership
Unless otherwise agreed in writing, hosting accounts, cloud infrastructure, deployment environments, server configurations, platform subscriptions, and development environments established under Valiant Industry accounts remain under Valiant Industry ownership and administrative control. Transfer of such infrastructure may require separate agreements, migration fees, or operational handover arrangements.
Third-Party Technologies
Projects may incorporate third-party software, APIs, plugins, stock assets, fonts, licensed frameworks, hosting providers, AI services, or external technologies. Such technologies remain subject to their respective ownership rights and licenses.
Portfolio Rights
Unless restricted through a signed NDA or written agreement, Valiant Industry reserves the right to showcase completed projects, websites, applications, campaign results, creative work, designs, 3D experiences, and non-confidential deliverables within portfolios, case studies, websites, presentations, social media, and promotional materials.
Reservation of Rights
All rights not expressly granted to the Client remain exclusively reserved by Valiant Industry.
6. Confidentiality
Both parties agree to maintain the confidentiality of non-public information disclosed during the engagement including business information, financial information, marketing strategies, customer information, login credentials, technical documentation, analytics data, proprietary systems, and project materials.
Confidential information shall not be disclosed without prior written consent except where required by law.
7. Non-Solicitation
During the engagement and for twelve (12) months following termination, Clients agree not to directly solicit, recruit, hire, contract, or engage any employee, contractor, freelancer, consultant, or subcontractor of Valiant Industry without prior written consent.
* Note: This restriction does not apply to general public job advertisements.
8. Disclaimers & Limitation of Liability
No Guarantee of Results
Valiant Industry does not guarantee search rankings, revenue growth, lead volume, sales volume, advertising performance, conversion rates, social media growth, or AI search visibility. Results depend on numerous external factors beyond our control.
SEO, AEO & GEO Disclaimer
Valiant Industry may implement SEO, AEO, GEO, structured data, schema markup, semantic content architecture, conversational search optimization, and AI search optimization. However, we do not guarantee rankings, indexing, featured snippets, AI Overviews, ChatGPT mentions, Gemini mentions, Perplexity citations, search visibility, or AI-generated placement. Search visibility depends on numerous external factors including algorithms, competition, authority signals, indexing behavior, and platform changes.
Advertising Disclaimer
While reasonable efforts are made to manage advertising performance and budgets, Valiant Industry shall not be responsible for advertising overspend, bidding fluctuations, delivery variations, platform errors, algorithm changes, or advertising platform failures.
Third-Party Platforms
Valiant Industry relies on third-party providers including but not limited to Google, Meta, OpenAI, Supabase, Vercel, Stripe, hosting providers, and CRM systems. We shall not be liable for outages, suspensions, restrictions, API failures, account bans, service interruptions, or data loss caused by third-party providers.
AI Output Disclaimer
Client acknowledges that AI-generated outputs may contain inaccuracies, omissions, similarities to content generated for others, or outputs requiring human review. All AI-generated content must be reviewed and approved by the Client before publication or implementation. The Client assumes responsibility for all approved content published under their brand.
Limitation of Liability
To the fullest extent permitted by law, Valiant Industry's total liability shall be limited to the greater of:
- Fees paid during the three (3) months immediately preceding the claim; or
- Total fees paid for the specific project giving rise to the claim.
9. Force Majeure
Valiant Industry shall not be liable for delays, interruptions, failures, or inability to perform obligations resulting from events beyond reasonable control including internet outages, cyberattacks, hosting failures, cloud service disruptions, power outages, labor disputes, government actions, natural disasters, public health emergencies, platform outages, or API failures. Affected obligations shall be suspended during such events.
10. Termination & Cancellation
Retainer Cancellation
Either party may terminate recurring services with thirty (30) days written notice unless otherwise agreed.
Project Cancellation
Project deposits are non-refundable once work has commenced.
Termination for Breach
Valiant Industry may immediately terminate Services for non-payment, unlawful conduct, abusive behavior, misuse of systems, or violation of these Terms.
Data Retention
Project files, reports, communications, and portal data may be retained temporarily for operational, legal, or backup purposes. Unless otherwise agreed in writing, such materials may be permanently deleted thirty (30) days following project completion or termination.
Chargebacks
Clients agree not to initiate unjustified chargebacks or payment disputes for Services already delivered, approved, managed, or completed. Valiant Industry reserves the right to pursue recovery of outstanding balances and related costs where permitted by law.
11. Governing Law & Dispute Resolution
Applicable Law
- Clients located in Indonesia shall be governed by Indonesian law.
- Clients located in South Africa shall be governed by South African law.
- International Clients shall be governed by Indonesian law unless otherwise agreed.
Good Faith Resolution
Both parties agree to first attempt good-faith negotiation before initiating formal proceedings.
Emergency Relief
Nothing in these Terms prevents either party from seeking urgent legal relief relating to intellectual property, confidential information, proprietary systems, or security breaches.
12. Changes To These Terms
Valiant Industry reserves the right to update these Terms at any time. Material updates may be communicated through website notices, email, or Client Portal notifications. Continued use of Services constitutes acceptance of revised Terms.
